What the report is, who files every two years, the states with no report at all, and the Florida numbers in one place.
It is a short yearly (in some states, every-two-years) filing that keeps your LLC's public record current: addresses, registered agent, and managers or members. It is not a tax return and, in most states, contains no financial information at all. Its real job is keeping the LLC in good standing; miss it long enough and most states dissolve the LLC.
Nine jurisdictions have no standard LLC annual report: Alabama, Arizona, Delaware, Missouri, New Mexico, Ohio, South Carolina, Texas, and Virginia. Several of them still require something yearly under a different name — Delaware's $400 annual tax, Texas's Public Information Report filed with the franchise tax report, and Virginia's $50 registration fee are the important ones. The checker handles each state exactly.
Alaska, California (Statement of Information), the District of Columbia, Indiana, Iowa, Kansas, Nebraska, and New York file on a two-year cycle, each on its own date rule. Pick the state in the checker and the cycle is stated in the verdict.
Because the exact amount could not be confirmed on that state's own filing pages when the rules were checked in October 2026. Rather than guess, the verdict says a late fee applies and points to the state's filing page for the exact amount. Figures are printed only where the state itself publishes them.
Between January 1 and May 1 every year, by 11:59 p.m. Eastern on May 1. The fee is $138.75. The first report is due in the January-to-May window of the year after the LLC was formed.
A $400 late fee is added (late total $538.75). It cannot be waived, even if you never received a reminder. If no report is filed by the third Friday of September, the LLC is administratively dissolved at the close of business on the fourth Friday of September. Reinstatement costs $100 plus $138.75 for each missed year. The Florida Kit walks through both paths in full.
Yes. Act 122 of 2022 created a true annual report for Pennsylvania LLCs, replacing the old once-every-ten-years filing. It costs $7, the window is January 1 to September 30, and dissolution for failing to file starts in 2027 — the 2025 and 2026 reports carry no dissolution consequence.
One pick, one verdict, stamped with the month the rules were checked.
